Licence terms

These terms are the agreement between Ardila Marine AB (the Provider, “we”) and the business that uses Marine Flow Studio (the Customer, “you”).

They follow a standard contract: the Common Paper Software License Agreement, written by a committee of lawyers for software that customers install on their own computers. This page is its Cover Page, with the details of Marine Flow Studio. The rest of the agreement is the Common Paper Software License Agreement Standard Terms, Version 1.1, posted at commonpaper.com/standards/software-license-agreement/1.1, which are part of these terms by reference. Where this page and the Standard Terms differ, this page applies. Words with capital letters have the meaning this page or the Standard Terms give them.

1. Businesses only, and how these terms are accepted

1.1 Marine Flow Studio is sold only to businesses. The person who accepts these terms does so for a company or other business and confirms that they may bind it; that business is the Customer. A consultant who works alone accepts them for their own business. These terms are not offered to consumers.

1.2 You accept these terms when you request a trial, place an order, accept an invoice, or install or use the Software, whichever comes first. We accept them when we send you a download link, a licence key or a licence file.

1.3 This page is both the Order Form and the Key Terms. Together with the Standard Terms and the details of each order (the plan, the number of PCs and the price, as shown at checkout or on the invoice), it makes up the Agreement.

2. The order

The business details of the Agreement (the Order Form):

Provider
Ardila Marine AB, organisation number 559564-5044, Källängsvägen 53, 181 44 Lidingö, Sweden.
Customer
The business named in the trial request, the order or the invoice.
Software
Marine Flow Studio, the program for drawing piping and instrumentation diagrams (P&IDs) for ships, for Windows 10 and 11 (64-bit), with its Updates. The Documentation is the help inside the program and on marineflowstudio.com/help.
Order Date
The start date on the invoice, or the day you place the order online. For a Trial, the day we send you the download link.
Trial
Free, for 30 days on one PC, counted from its Order Date; one Trial per Customer unless we agree otherwise. During a Trial, Section 1.1 (License) applies as if the Trial were a Subscription Period. No payment details are needed and nothing is charged when the Trial ends: a Subscription Period starts only when you place an order. During a Trial, Sections 5.2 (Provider Warranty), 5.4 (Provider Warranty Remedy) and 8 (Indemnification) do not apply, there are no Increased Claims and no Unlimited Claims, the General Cap Amount is EUR 250, and either party may end the Trial at any time by notice.
Subscription Period
Monthly plan: one month. Annual plan: 12 months. Each starts on the Order Date and renews as set out under Non-Renewal Notice Date.
Fees
Per PC, by the month on the monthly plan or by the year on the annual plan, as the order or the invoice states them. Fees are in euros (EUR) and exclude VAT. We may change the Fees for later Subscription Periods: we tell you at least 30 days before the new Fees apply, and you may then stop the renewal before they do, even after the Non-Renewal Notice Date.
Payment Process
Both plans: by invoice, once per Subscription Period and in advance; you pay each invoice within 30 days of the invoice date.
Non-Renewal Notice Date
Monthly plan: you may stop the renewal at any time before the next month starts, by email to our Notice Address; we must give you at least 30 days’ notice. Annual plan: either party, at least 30 days before the end of the current Subscription Period.
Permitted Uses
Your internal business purposes, including making drawings, lists and files for your own clients and projects.
License Limits
Each licence covers one PC at a time, whoever uses it. You may move a licence to another PC, removing the Software from the old one, up to twice in any 12 months, and more often if we agree. Download links, licence keys and licence files may not be shared or reused beyond these limits.
Warranty Period
The Subscription Period.
Deletion Procedure
When a Trial or a Subscription Period ends without renewal, the licence ends: you stop using the Software and uninstall it. Nothing else is deleted: your files stay on your PC, and they are yours (see 4.1).
Services
Support by email at info@ardilamarine.com. We aim to answer within one business day (Monday to Friday, except Swedish public holidays). Updates are included during the Subscription Period.

3. The legal terms

The legal details of the Agreement (the Key Terms):

Effective Date
The day you first accept these terms.
Governing Law
The laws of Sweden.
Chosen Courts
The courts of Sweden, with Stockholm District Court (Stockholms tingsrätt) as the court of first instance.
Covered Claims
Provider Covered Claims: a claim by someone else that the Software, used according to these terms, infringes their intellectual property rights. Customer Covered Claims: a claim by someone else that arises from your files, from documents or drawings you open, trace or import into the Software without the right to do so, or from a breach of Section 1.1 (License) or Section 2.1 (Restrictions on Customer).
General Cap Amount
The Fees paid and payable by you to us in the 12 months immediately before the claim.
Increased Claims
An Indemnifying Party’s obligations under Section 8 (Indemnification).
Increased Cap Amount
Two times the General Cap Amount.
Unlimited Claims
None. Section 7.4 still applies: nothing in these terms limits a liability that the law does not allow to be limited.
Additional Warranties
None.
Data Processing Agreement
Not needed: we do not process personal data on your behalf, because your files stay on your systems (see 4.1). We handle the personal data of your contact people as a controller, as our privacy policy describes.

4. Changes to the Standard Terms

4.1 Your files. Drawings, lists, exports and other files you make with the Software are yours, and they are your Confidential Information. The Software keeps them on your systems and does not send them to us; you keep your own backups. Our symbols, title blocks and other parts of the Software that end up inside your files may be used, copied and shared with those files without limit, also after these terms end.

4.2 What the Software sends us. The Usage Data in Section 1.3 is limited to this: if it activates or checks a licence online, the Software sends us only the licence key, a fingerprint that identifies the PC, and the version of the Software. We use them only to run your licences and to support you. The Software sends us nothing else, so there is no Usage Data for the purposes in Section 1.4 (Machine Learning).

4.3 AI features. The AI features are optional. They use your own Anthropic account and API key: what you send goes from your PC straight to Anthropic, under your agreement with Anthropic, which also bills you for it. We do not receive it, and we are not responsible for Anthropic’s services. AI results can be wrong, as the end of Section 1.4 says: check them before you rely on them. AI and privacy lists what is sent and when.

4.4 Engineering responsibility. The Software helps you draw and document ship systems; it does not replace engineering judgement. You remain responsible for checking your drawings, lists, data and exports, and for meeting the rules of classification societies and flag states and the standards that apply to your projects. Designing and documenting ship systems with the Software, checked by your own engineers, is not a High Risk Activity.

4.5 More PCs than licences. If the Software is used on more PCs than you have licences for, you pay the Fees for the extra PCs from the day that use began.

4.6 Your name and logo. Section 10.9 (Logo Rights) does not apply. We name you as a customer, or show your logo, only if you agree in writing; an email is enough.

4.7 Refunds. Section 3.1 (Fees) applies together with our cancellation and refunds page, which is part of these terms.

4.8 Notices. Our Notice Address is info@ardilamarine.com, or our postal address under Provider in section 2. Yours is the email address in your trial request or your order. Notices under these terms may be sent by email.

4.9 Export controls. Section 10.12 (Export Controls) also covers the export control and sanctions laws of the European Union and of Sweden.

4.10 Changes to this page. We may change this page for later Subscription Periods. We email you the change at least 30 days before it applies. If you do not accept it, you may stop the renewal before then, even after the Non-Renewal Notice Date; if you let the subscription renew, you accept the change. The Standard Terms stay at Version 1.1 unless both parties agree otherwise.

4.11 Language. These terms are written in English. If a translation differs, the English text applies.
